1. Acceptance of Terms

By accessing or using Reconcilio ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

Reconcilio provides automated reconciliation tools for short-term rental property owners and managers. The Service processes your uploaded CSV files to match platform payouts with bank deposits and generate reports.

3. User Responsibilities

You agree to:

• Provide accurate account information
• Maintain the security of your account credentials
• Only upload data you own or have permission to use
• Verify all reconciliation results before relying on them
• Not use the Service for illegal purposes
• Not attempt to reverse engineer or exploit the Service

4. Subscription and Billing

• Subscriptions renew automatically unless cancelled
• You may cancel at any time (no refunds for partial months)
• Prices may change with 30 days notice
• Failed payments may result in service suspension
• Free trials do not require credit card information

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECONCILIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, TAX PENALTIES, OR DATA LOSS, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months prior to the claim.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Indemnification

You agree to indemnify and hold harmless Reconcilio from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Tax filings or financial decisions based on Service output

9. Data Handling

By using the Service, you acknowledge that:

• You own or have permission to upload all CSV, PDF, images files
• We use third-party AI services (data anonymized) for processing
• You are responsible for backing up your own data

10. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment
• Abusive behavior toward staff or other users

You may terminate your account at any time from your account settings.

11. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Ontario, Canada.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
